₦76bn Arik Air Fraud Trial: EFCC Witness Questions AMCON Takeover

Fresh controversy has emerged over the 2017 takeover of Arik Air by the Asset Management Corporation of Nigeria (AMCON), following startling testimony by a senior Economic and Financial Crimes Commission (EFCC) official who questioned the legitimacy of the debt arrangement that led to the airline’s receivership.

The development has brought renewed attention to the management of distressed companies in Nigeria, raising questions about corporate accountability, financial transparency and the protection of private investments when government-backed institutions intervene in struggling businesses.

Testifying before Justice Mojisola Dada of the Lagos State Special Offences Court in Ikeja, Bawa Usman Kaltungo, Director of the EFCC Lagos Zonal Directorate 2, described the foundation of Arik Air’s receivership as fraudulent and defective.

Kaltungo, the fourth prosecution witness in the ongoing alleged ₦76 billion fraud trial involving former AMCON Managing Director Ahmed Kuru and four other defendants, maintained that investigations revealed no outstanding debt owed by Arik Air to Union Bank of Nigeria Plc that could justify the particular debt arrangement under scrutiny.

According to the EFCC official, the investigation followed a petition challenging the circumstances surrounding the airline’s takeover and the financial transactions that subsequently occurred under the receivership arrangement.

He told the court that his investigative team examined the alleged indebtedness and concluded that the basis upon which a receiver-manager was appointed over the airline was questionable.

The testimony represents a significant development in a case that has continued to attract attention within Nigeria’s aviation and financial sectors, particularly because AMCON’s intervention in Arik Air was originally presented as an effort to rescue a financially distressed airline and protect its operations.

However, the courtroom proceedings also produced an important development in favour of the defence when Justice Dada admitted certified resolutions of AMCON’s board into evidence.

The documents were tendered by Uyi Giwa-Osagie, counsel to former AMCON Managing Director Ahmed Kuru, to challenge the prosecution witness’s assertion that Kuru independently authorised the appointment of a receiver-manager over Arik Air.

The defence maintained that the resolutions demonstrated that the decision was taken through AMCON’s corporate governance structure rather than by Kuru acting alone.

Although the prosecution opposed the admission of the documents, the court ruled that they were relevant to the proceedings and had been properly certified in accordance with Section 104 of the Evidence Act.

The admission of the documents introduces another dimension to the trial, as the court will have to evaluate whether the disputed receivership decisions were properly authorised and whether any of the defendants committed the offences alleged by the prosecution.

At the centre of the case are allegations involving Arik Air’s loan obligations, the transfer of its debt exposure to AMCON and financial transactions undertaken after the airline came under receivership.

The defendants include Ahmed Kuru; former Arik Air receiver-manager Kamilu Alaba Omokide; the airline’s Chief Executive Officer, Captain Roy Ilegbodu; Union Bank of Nigeria Plc; and Super Bravo Limited.

They are facing a six-count charge bordering on conspiracy, stealing and abuse of office in connection with the disputed transactions.

One of the allegations concerns the purported transfer of ₦71 billion in Arik Air loan exposure from Union Bank to AMCON, which prosecutors contend was based on false representations concerning the airline’s financial obligations.

Another allegation involves the purported conversion of ₦4.9 billion belonging to Arik Air for the benefit of NG Eagle Limited, an airline associated with AMCON’s aviation restructuring plans.

The defendants, who were arraigned on January 20, 2025, pleaded not guilty to the charges, leaving the prosecution with the responsibility of proving its allegations before the court.

Beyond the criminal proceedings, the case has revived longstanding concerns about the consequences of receivership arrangements for private companies, particularly where disputes arise over debt calculations, management decisions and the preservation of business assets.

Arik Air, once one of Nigeria’s leading domestic and international carriers, was placed under AMCON receivership in February 2017 amid concerns about its financial obligations and operational sustainability.

The intervention was intended to stabilise the airline, protect jobs and preserve its operations. However, subsequent disagreements between the airline’s original promoters and the receivership management generated prolonged legal disputes.

The latest EFCC testimony could intensify scrutiny of the procedures used in taking control of distressed businesses and the safeguards available to shareholders when corporate assets are placed under external management.

It also raises broader questions about the responsibilities of receiver-managers, including their obligation to preserve company assets, maintain business continuity and act in accordance with applicable corporate laws.

Nevertheless, the witness’s description of the receivership as fraudulent remains evidence presented during an ongoing trial and does not constitute a judicial finding that the takeover was unlawful.

Similarly, the admission of AMCON’s board resolutions does not establish the innocence or guilt of any defendant, as the court must still assess the full evidence and determine the legal consequences of the disputed transactions.

For Nigeria’s aviation industry, the proceedings could have implications beyond Arik Air, particularly regarding investor confidence, corporate governance and the credibility of financial intervention mechanisms.

As the ₦76 billion Arik Air fraud trial continues, attention will remain focused on whether the prosecution can substantiate its allegations and whether the defence can establish that the decisions under examination were lawful and properly authorised.

Ultimately, the case presents an important test of accountability in Nigeria’s financial and aviation sectors, with the court expected to determine the facts surrounding one of the country’s most controversial airline receivership arrangements.
